Attorney General Files Compliance Agreement After Probe of F5 Project in Cass County

The North Dakota Attorney General’s Office announced that its Consumer Protection Division concluded an investigation into the F5 Project and filed a formal resolution with the Cass County District Court. The office reported that its review substantiated several major concerns involving the nonprofit’s former top leadership.

According to the Attorney General, investigators found evidence of conflict of interest and self-dealing tied to real estate transactions between the F5 Project and Marcoll Properties, an entity owned by founder Adam Martin and a partner. The probe also identified unlawful loans issued by former leadership to themselves and the misuse of nonprofit funds for unauthorized personal or business purposes.

To address the findings, legal counsel for the F5 Project agreed to an Assurance of Voluntary Compliance (AVC), which was formally filed in Cass County District Court. The AVC establishes terms and oversight measures intended to correct governance and financial-control deficiencies documented by the state review.

The Attorney General’s office characterized the listed items—self-dealing in real estate, improper loans, and misuse of funds—as confirmed by its investigation. The F5 Project’s board said the organization’s programs continue and that it is working to comply with the agreed-upon terms. The AVC remains the current documented case status following the state’s filing.
